Welcome to Valido. By accessing, browsing, or using the Valido platform (the "Service"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, you may not access or use the Service.
Agreement to Terms
By creating an account or using the Valido Service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. In that case, "you" refers to such entity.
Service Overview
Valido provides an AI-powered data validation and quality analytics platform. The Service allows data teams to monitor data quality, detect anomalies, and ensure data integrity across various data warehouses and pipelines. The Service is provided "as is" and Valido does not guarantee the uninterrupted, error-free operation of the Service.
Eligibility: You must be at least eighteen (18) years of age to use the Service. By using the Service, you warrant that you are at least eighteen years old and possess the full legal capacity to enter into these Terms.
Account Setup and Use
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to accept responsibility for all activities that occur through your account, whether authorized by you or not.
Acceptable Use
You agree not to use the Service for any unlawful purpose, to attempt to gain unauthorized access to the Service or its related systems or networks, or to interfere with or disrupt the security or integrity of the Service. You may not use the Service to distribute spam, malware, or engage in any activity that could harm Valido or its users.
Payment Terms
The Service is offered under a subscription basis. Fees are due monthly or annually, as selected during sign-up. Payment must be made in the currency specified on the Valido website at the time of purchase. By submitting payment information, you authorize Valido to charge your selected payment method for the applicable subscription fees and any taxes, unless otherwise specified.
All fees are non-refundable unless otherwise stated in Valido's refund policy. You may cancel your subscription at any time; however, such cancellation will take effect at the end of your current billing period.
Valido's Proprietary Rights
Valido retains all right, title, and interest in and to the Service, including all intellectual property rights therein. The Service includes proprietary software, algorithms, and data models that are protected by intellectual property laws. You may not modify, reverse engineer, decompile, or disassemble the Service.
Customer Data Ownership
While Valido processes your data to provide the Service, you retain full ownership of your data. Valido does not claim ownership of the data you upload or the metadata generated by your use of the Service. Your data will not be used for Valido's own marketing purposes without your explicit consent.
Non-Disclosure
Valido agrees to maintain the confidentiality of any non-public information provided by you in connection with the Service. This obligation continues indefinitely following the termination of these Terms. Valido will not disclose such information to any third party except as required by law or to its affiliates and service providers who need such information to operate the Service.
Limitations on Warranty
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. VALIDO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Valido does not warrant that the results that may be obtained from the use of the Service will be accurate or reliable. You agree that your use of the Service is at your sole risk.
Maximum Liability
IN NO EVENT SHALL VALIDO, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
The total liability of Valido to you for all claims relating to the Service shall not exceed the amount you paid, if any, for the Service in the twelve (12) months prior to the claim.
Termination by Valido
Valido may suspend or terminate your access to the Service at any time, without prior notice or liability, for any reason whatsoever, including but not limited to a breach of these Terms.
Data Export Rights
Upon termination or cancellation of your account, you may download or export your data within thirty (30) days by contacting support. Valido reserves the right to delete data that has been inactive for more than ninety (90) days following termination.
Jurisdiction
These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision will be struck and the remaining provisions will remain in full force and effect.
